1. Introduction
Welcome to WheelerDocs. WheelerDocs is a cloud-based platform that helps transportation, logistics, and fleet-related businesses manage documents, compliance records, drivers, vehicles, equipment, inspections, maintenance tasks, and related operational information.
These Terms of Service (the "Terms") govern your access to and use of WheelerDocs websites, applications, software, dashboards, features, support services, and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or using the Services on behalf of an organization, you agree to these Terms.
If you do not agree with these Terms, do not access or use the Services.
If you are located in Canada or the United States, you are entering into these Terms with EZ Networks Inc., an Ontario, Canada corporation doing business as WheelerDocs.
2. Eligibility and Authority
You may use the Services only if you are legally able to enter into a binding agreement and are not prohibited from using the Services under applicable law.
If you use the Services on behalf of a company, fleet, carrier, organization, or other legal entity, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and that organization.
3. Accounts and Organization Administration
Some Services require an account. You agree to provide accurate, current, and complete information when creating or maintaining an account and to keep that information up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Each user must have their own account unless WheelerDocs expressly permits another arrangement in writing. You may not share, sell, loan, or transfer your login credentials.
Organizations may appoint administrators who can manage users, permissions, records, account settings, subscriptions, and access to Customer Content. Administrators are responsible for configuring access appropriately, removing users who no longer require access, and maintaining accurate organization information.
If you become aware of unauthorized access to your account or organization workspace, you must notify WheelerDocs promptly.
4. Services
WheelerDocs provides tools designed to help customers manage fleet-related documentation and operational records. Depending on your plan and configuration, the Services may include document management, driver and vehicle record management, inspection and defect tracking, maintenance tracking, equipment tracking, fleet tracking, reporting, audit trails, and related functionality.
We may improve, modify, suspend, or discontinue features from time to time. We will use commercially reasonable efforts to provide notice where a material change significantly affects your paid use of the Services, unless urgent changes are required for security, compliance, or service integrity.
5. Acceptable Use
You agree not to misuse the Services or help anyone else do so. You must not:
- use the Services for unlawful, fraudulent, harmful, or deceptive purposes;
- upload malicious code, malware, or content that infringes the rights of others;
- attempt to gain unauthorized access to the Services, accounts, systems, or networks;
- interfere with or disrupt the Services or related infrastructure;
- scrape, crawl, or use automated access except as expressly permitted by WheelerDocs;
- reverse engineer, copy, resell, or redistribute the Services except as permitted by law or written agreement;
- use the Services to build or benchmark a competing service without written permission;
- upload information that you do not have the right to use, store, or share; or
- use the Services in a way that distracts from safe driving or violates transportation, workplace, privacy, or safety laws.
We may take reasonable steps to protect the Services, customers, and the public, including blocking harmful files, limiting abusive activity, suspending accounts, or removing unlawful content.
6. Customer Content and Data
"Customer Content" means documents, records, images, data, files, inspection reports, maintenance information, driver information, vehicle information, equipment information, and other materials submitted to or stored in the Services by or on behalf of you or your organization.
You retain ownership of your Customer Content. WheelerDocs does not claim ownership of Customer Content. You grant WheelerDocs and its service providers a limited right to host, store, transmit, process, display, back up, and otherwise use Customer Content only as needed to provide, secure, support, improve, and maintain the Services; comply with law; enforce these Terms; or respond to emergencies.
You are responsible for Customer Content, including ensuring that you have the rights and permissions needed to upload, store, process, and share it through the Services.
When you share Customer Content with other users or organizations through the Services, you are responsible for the permissions and consequences of that sharing.
7. Privacy and Data Protection
Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy. Your use of the Services is also subject to that Privacy Policy.
You are responsible for complying with privacy, employment, transportation, safety, and record-keeping laws that apply to your organization and your use of the Services, including obtaining any necessary consents from drivers, employees, contractors, customers, or other individuals whose information you upload or manage through the Services.
WheelerDocs may process personal information in Canada, the United States, or other locations where WheelerDocs or its service providers operate, subject to applicable law and contractual safeguards.
If WheelerDocs becomes aware of a security incident involving Customer Content or personal information under its control, WheelerDocs will take reasonable steps to investigate and respond, including providing notices where required by applicable law.
8. Security and Availability
WheelerDocs uses reasonable administrative, technical, and physical safeguards designed to protect the Services and Customer Content. However, no online service can be guaranteed to be completely secure or uninterrupted.
You are responsible for using strong passwords, managing user permissions, protecting devices, maintaining backups or exports where required by your business, and promptly reporting suspected unauthorized access.
We may perform maintenance, updates, and deployments from time to time. We will try to minimize disruption where commercially reasonable.
9. Plans, Fees, Billing, and Cancellation
WheelerDocs may offer free and paid plans. Features, usage limits, pricing, billing periods, and plan terms are described on the WheelerDocs website, in an order form, or in another written agreement with WheelerDocs.
If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges associated with that plan. You authorize WheelerDocs or its payment processor to charge your selected payment method for recurring and non-recurring charges associated with your account.
Subscriptions may renew automatically unless cancelled before the renewal date according to the cancellation instructions provided by WheelerDocs. Unless otherwise stated in an order form or required by law, fees are non-refundable once charged.
If payment is not received when due, WheelerDocs may suspend or limit access to paid features after reasonable notice, where practical.
10. Free Plans, Trials, and Demo Access
WheelerDocs may provide free plans, trial accounts, demo environments, or sample accounts so prospective users can evaluate the Services. Demo environments may contain sample data and may be reset, modified, or discontinued at any time.
Demo credentials, if offered, are provided for evaluation only. Do not upload confidential, personal, proprietary, regulated, or production business information into a public demo environment.
11. Third-Party Services and Integrations
The Services may integrate with or link to third-party services, websites, hosting providers, payment processors, mapping providers, communication tools, or tracking devices. Third-party services are governed by their own terms and privacy policies.
WheelerDocs is not responsible for third-party services except to the extent required by applicable law or expressly stated in a written agreement.
12. Intellectual Property
WheelerDocs and its licensors own all rights, title, and interest in the Services, including software, designs, interfaces, workflows, text, graphics, logos, trademarks, documentation, and related materials, except for Customer Content.
Subject to these Terms, WheelerDocs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during the term of your account or subscription.
If you provide suggestions, ideas, feedback, or recommendations about the Services, WheelerDocs may use them without restriction or compensation to you.
13. Confidentiality
Each party may receive confidential or sensitive information from the other. Confidential information includes non-public business, technical, financial, security, product, roadmap, customer, and operational information, as well as information marked confidential or that a reasonable person would understand to be confidential.
Each party agrees to use the other party's confidential information only for purposes related to these Terms and the Services, to protect it using reasonable care, and to disclose it only to personnel, contractors, advisors, or service providers who need to know it and are bound by confidentiality obligations.
Confidential information does not include information that is public through no fault of the receiving party, already known without restriction, independently developed without use of the confidential information, or lawfully received from a third party.
14. Suspension and Termination
You may stop using the Services at any time. You may cancel a subscription according to the cancellation process provided by WheelerDocs.
WheelerDocs may suspend or terminate access to the Services if you violate these Terms, fail to pay fees when due, create risk or harm to WheelerDocs or others, use the Services unlawfully, or if continued service is no longer commercially or legally feasible.
Where reasonable and permitted by law, WheelerDocs will provide notice and an opportunity to cure before suspension or termination. Immediate suspension may occur where necessary to address security, legal, payment, or service integrity risks.
After termination, WheelerDocs may retain Customer Content for a limited period to allow export, comply with law, resolve disputes, enforce agreements, maintain backups, or support legitimate business needs. After that period, Customer Content may be deleted or become unavailable.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." WheelerDocs does not warrant that the Services will be uninterrupted, error-free, secure, or that they will meet every requirement of your business.
WheelerDocs is not responsible for your compliance decisions, regulatory filings, inspection outcomes, driver behavior, vehicle condition, fleet operations, or legal obligations. You remain responsible for reviewing records, maintaining compliance, and making operational decisions.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
16. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of goodwill, business interruption, loss of data, or loss of opportunity, even if advised of the possibility of such damages.
To the maximum extent permitted by law, WheelerDocs' total liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amounts paid by you to WheelerDocs for the Services during the twelve months before the event giving rise to liability; or (b) CAD $100.
These limitations do not apply to liability that cannot be limited by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless WheelerDocs and its affiliates, directors, officers, employees, contractors, service providers, and agents from claims, losses, liabilities, damages, costs, and expenses arising from: (a) Customer Content; (b) your use of the Services; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of rights of another person or organization.
18. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
Subject to any rights that cannot be waived under applicable law, the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for disputes arising out of or relating to these Terms or the Services.
Nothing prevents WheelerDocs from seeking injunctive or equitable relief in any jurisdiction where necessary to protect its rights, users, systems, or confidential information.
19. Changes to These Terms
WheelerDocs may update these Terms from time to time. The updated version will be posted on the WheelerDocs website with a revised "Last updated" date. If changes are material, WheelerDocs will use reasonable efforts to provide notice, such as through the Services or by email.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel your account or subscription.
